Terms" class in the NYPEN Legal Series, to be held on
Monday, July 15th.

Overview
The
market for private equity fund-raising has improved in the last 12 months and
an increasing number of sponsors are in the market raising new funds.
However, the fundraising environment remains challenging and an understanding
of the current market for key business and legal terms remains critical.
This hands-on, practical class will provide insight and analysis of the key
legal and business terms and conditions of private equity funds in today's
market. In particular, the class will focus on recent trends and
developments in key terms, as well as analysis of the changes in terms in
historical context. This highly interactive session will consider the
principal terms that govern the operation of private equity funds, with
particular focus on economic issues and the relationship between a fund's
general partner and its limited partners -- considered from both
perspectives. Key legal and business issues that will be covered include:
· Economics for
sponsor, including carried interest, preferred returns, management and
transaction fees and clawbacks
· Governance,
including key man, investment limitations and "divorce" provisions
· Co-investment
arrangements
· Role of placement
agents
In addition,
the class will provide insight on new strategies and tactics that fund sponsors
are utilizing to achieve successful fund-raisings in challenging market
conditions, as well as the latest market intelligence on which terms are
changing for different types of funds, including jumbo funds, middle-market
funds, first-time funds, and other types of funds.
